Experience – Corporate:  acted for purchasers, sellers, investors (private equity, venture capital & crowd-funding) and management in all forms of corporate activity including start-ups, early and later stage investment, stake-building, MBOs, MBIs, acquisitions, exits, mergers, divestment, de-mergers, listings and take-private transactions; advised upon the formation and management of all forms of corporate structure.

Experience – Commercial:  advised on all forms of commercial relationships including shareholder agreements, articles of association, partnership and LLP agreements, joint venture agreements, commercial contracts; acting as general counsel to various businesses; acting as project manager to businesses to deliver specific transactional or project outcomes.

Experience – Restructuring: UK counsel to various US, German, French and Norwegian entities in cross-border restructuring assignments; advising UK listed companies on restructuring in relation to Listing Rules; advising lenders, owners, management and/or restructuring professionals on the restructuring of all types and sizes of UK businesses.

Experience – Insolvency: acted for most large and many medium and small insolvency firms in the UK, for lenders, for owners and for management on various assignments including Receiverships, Administrations, Liquidations (voluntary and compulsory), Company Voluntary Arrangements, Law of Property Act Receiverships, Sequestrations, Trust Deeds and Individual Voluntary Arrangements; acted in sales by and purchases from all forms of insolvency process; advised both Insolvency Practitioners and third parties in respect of claims against directors and third parties.

Experience – Regulatory: advising listed venture capital investors on corporate governance in portfolio companies; advising quoted companies on matters relating to their listing; advised listed insolvency business on contractual arrangements with appointment-taking directors and employees to comply with both the Listing Rules and Insolvency Regulations; advising insolvency firms on regulatory matters and compliance; acted for the Accountant in Bankruptcy, the Institute of Chartered Accountants of Scotland and the Insolvency Practitioners Association in regulatory matters; acted for a number of Insolvency Practitioners in connection with regulatory issues; acted for the Insolvency Service and directors in Directors’ Disqualification proceedings.

Experience – Factoring & Discounting: drafted Scottish law compliant documentation for finance companies; acted in the negotiation and launch of a “white label” finance product.

Appointments: Director of the Joint Insolvency Examination Board; Law Society of Scotland representative to the Joint Insolvency Committee; member of the Law Society of Scotland Insolvency Lawyers Specialist Accreditation Panel; Convener of the Law Society of Scotland Banking, Company Law & Insolvency sub-Committee; Independent External member of the Accountant in Bankruptcy Policy & Cases Committee; External Examiner for the Company Law and the Business & Financial Awareness modules of the Diploma in Professional Legal Practice at the University of Strathclyde; former tutor in Company Law and in Business & Financial Awareness on the Diploma in Professional Legal Practice at the University of Strathclyde; former tutor in Company and Commercial Law on the Diploma in Legal Practice at the Glasgow Graduate School of Law; various non-executive director positions.

Qualifications: Solicitor; Notary Public; Accredited by the Law Society of Scotland as a Specialist in Insolvency Law.

Speaking: Regularly invited by all the main training providers to speak at conferences involving restructuring and insolvency, corporate finance and invoice discounting and factoring, including: the Law Society of Scotland; the Institute of Chartered Accountants of Scotland; Central Law Training; the Royal Faculty of Procurators in Glasgow; invited by many of the major corporate recovery and insolvency accountancy firms to provide in-house training.

Publications: Scottish chapter of “Cross-Border Insolvency”, published by INSOL International (2nd and 3rd editions); various articles for legal, accountancy and insolvency journals.
